She advises domestic and international clients, including multinational corporations, investors, funds, fintech companies, payment service providers, NBFCs and lending platforms, on transaction structuring, regulatory strategy, commercial documentation and deal negotiation. Her practice combines broad corporate transactional experience with focused capability in India’s evolving fintech, payments and digital lending ecosystem.
Jyoti’s corporate practice spans mergers and acquisitions, inbound and outbound investments, private equity, project finance, infrastructure transactions, general corporate advisory and commercial contracting. She has advised on a wide range of transaction documents, including shareholders’ agreements, share purchase agreements, joint venture agreements, debt arrangements, licensing and distribution agreements, service level agreements and other commercial contracts. She has also advised investors in power projects and has significant experience in drafting and negotiating financing and security documents, including consortium loan documentation, hypothecation, mortgages, escrow arrangements, trust and retention account structures and share pledges.
Jyoti’s fintech and regulatory practice includes advising fintech companies, payment service providers, NBFCs, lending platforms and investors on regulatory structuring, licensing and transactional matters. Her experience includes advising payment aggregators and fintech businesses on RBI compliance, licensing requirements under the Payment and Settlement Systems Act, KYC, AML and data localisation requirements, as well as advising NBFCs and lending platforms on co-lending arrangements, digital lending guidelines, RBI-mandated disclosures and data protection requirements. She has also assisted fintech clients with RBI engagement on licensing and product approval, and advised on investment transactions and technology-linked commercial arrangements, including API integration, data-sharing and third-party service provider contracts.
